Marketplace Terms

1. Who we are and how the Marketplace works

LAWLiS provides an online marketplace platform that connects Riders (buyers) with independent approved Partners (sellers). Partners list and supply products; LAWLiS provides the technology, catalogue tools, account systems, order workflow, and marketplace oversight.

Unless LAWLiS expressly states otherwise for a specific product, products offered on the Marketplace are sold and fulfilled by the Partner identified on the relevant offer or order — not by LAWLiS as the seller of those goods.

Nothing in these Terms removes any right or responsibility that applicable law places on LAWLiS, a Partner, or a Rider.

2. Launch territory and future expansion

The Marketplace is initially made available for purchases and deliveries within the Republic of South Africa. Product availability, Partner coverage, shipping options, and service levels may vary by location within South Africa.

LAWLiS may expand the Marketplace to additional countries or regions in future. Where we do so, country-specific terms, policies, tax rules, or operational requirements may apply to users in those markets. Those terms will be published before the relevant market is opened.

3. Related policies

These Terms should be read together with the policies published on the Marketplace, including (as applicable):

• Privacy Notice (POPIA);
• Returns & Refunds Policy;
• Partner Terms (for Partners);
• Shipping information and any prohibited-products rules; and
• other guidelines we publish for use of the Marketplace.

If there is a conflict between these Terms and a more specific policy on the same topic, the more specific policy applies to that topic to the extent of the conflict, unless we state otherwise.

4. Eligibility and accounts

You must be at least 18 years old (or the age of legal majority in your place of residence, if higher) to create an account or place an order.

You must provide accurate, complete, and current information, keep your login details confidential, and use the Marketplace only for lawful purposes. You are responsible for activity that occurs under your account, unless you prove unauthorised access despite reasonable care.

LAWLiS may refuse registration, or restrict, suspend, or terminate access where reasonably necessary for security, fraud prevention, marketplace integrity, legal compliance, or material breach of these Terms, subject to applicable law.

5. Product information, fitment and availability

LAWLiS aims to present clear catalogue, pricing, and availability information. Fitment information is provided to help Riders identify products that may suit a motorcycle. Where fitment is shown as verified or suggested, Riders should still confirm suitability for their specific vehicle and use case where reasonably required.

Partners are responsible for the accuracy of their offers, stock levels, product condition, and fulfilment information. Catalogue or fitment data may change, and stock is not guaranteed until an order is successfully completed under these Terms and any applicable payment confirmation.

6. Prices, orders and payment

Prices are displayed in South African Rand (ZAR) unless stated otherwise. The checkout total shows the product price for the selected Partner offer and, where applicable, shipping calculated for the delivery address or destination you select.

An order is subject to successful checkout, product availability at the time of order processing, and valid payment or payment authorisation through the payment methods LAWLiS makes available.

Payment services may be provided by third-party payment providers. Their terms may apply to the payment step. When the production payment gateway is fully activated, additional payment-specific wording may be published.

LAWLiS may cancel or not complete an order where payment fails, fraud or abuse is suspected, stock cannot be fulfilled, or completion would breach law or these Terms. Where you have already paid and the order cannot proceed, we will arrange a refund in accordance with the Returns & Refunds Policy and applicable law.

7. Shipping and delivery

Under the current Marketplace model, the Partner responsible for an order (or order segment) arranges shipping and provides tracking or delivery updates through LAWLiS where available.

Delivery estimates are estimates only, unless applicable law requires otherwise. Risk in and responsibility for the goods follow the applicable sale and consumer-law rules for that transaction.

You must provide a complete and accurate delivery address and be available to receive the delivery or follow the carrier’s collection instructions.

8. Returns, refunds and consumer rights

Returns and refunds are handled under the LAWLiS Returns & Refunds Policy and through the Marketplace return workflow.

Nothing in these Terms or that policy excludes or limits rights that cannot lawfully be excluded under South African law, including rights that may apply under the Consumer Protection Act in respect of goods that are defective, unsafe, or not of the type or quality reasonably expected.

9. Acceptable use

You may not:

• misuse the Marketplace or attempt to disrupt its security or operation;
• submit false, misleading, or fraudulent information;
• infringe intellectual property or other rights;
• manipulate reviews, ratings, orders, or pricing;
• harvest data or use Rider or Partner information unlawfully;
• list, request, or trade in prohibited or unlawful products; or
• use the Marketplace for any unlawful purpose.

10. Intellectual property

The Marketplace, including its design, software, branding, and compilation of content, is owned by LAWLiS or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Marketplace for its intended purpose under these Terms.

You may not copy, scrape, resell, frame, reverse engineer (except to the extent permitted by law), or commercially exploit the Marketplace or its content without our prior written permission.

11. Reviews and content you submit

If you submit reviews, comments, or other content, you grant LAWLiS a non-exclusive licence to host, use, and display that content in connection with operating the Marketplace. You must only submit content you are entitled to provide, and content must be lawful and not misleading.

LAWLiS may moderate, refuse, or remove content where reasonably necessary for legal compliance, safety, or marketplace integrity.

12. Liability

The Marketplace is provided with reasonable care and skill. However, Partners are responsible for their products, stock accuracy, and fulfilment, except where applicable law places a responsibility on LAWLiS.

To the maximum extent permitted by law, LAWLiS is not liable for indirect or consequential loss, or for loss of profits, data, or business opportunity. Where our liability cannot be excluded, it is limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot legally be excluded.

13. Personal information

We process personal information as described in our Privacy Notice. By using the Marketplace, you acknowledge that notice. Partners may receive limited Rider information only as needed to fulfil orders, arrange delivery, handle returns, and provide related support.

14. Changes to these Terms

We may update these Terms as the Marketplace develops. The effective date and version will be shown at the top of this page. Where a change is material, we may require renewed acceptance or provide additional notice where appropriate.

If you continue to use the Marketplace after updated Terms take effect, you will be bound by the updated Terms, except where applicable law requires a different approach.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Subject to any non-waivable consumer rights, courts of South Africa will have jurisdiction in connection with these Terms and your use of the Marketplace during the South African launch phase.

If a dispute arises, we encourage you to contact LAWLiS Support first so we can try to resolve it. This does not prevent you from using any dispute resolution or complaint rights available under applicable law.
